The module should go into:
/lib/modules/ <kernel_version >/kernel/drivers/net/
so if your kernel is named (in /boot) "vmlinuz-2.4.22-1.custom ",
then the dir is:
/lib/modules/2.4.22-1.custom/kernel/drivers/net/

oh, and I think Ed meant 'eth1 '
