upgrade RHEL3 U2 to RHEL U4 without RHN

upgrade RHEL3 U2 to RHEL U4 without RHN

Does anyone know of any easy (best) way to upgrade from RHEL3 U2 to U4 with
redhat provided iso's via NFS? I do not want to be ties to RHN.

I need to plan on upgrading 75-100 machines via which ever method I can come up
with.  Each machines has update entitlments.

Also, suppose I installed several rpms or built applications from source after
installing the RHEL3 U2 server and U4 has to overwrite a shared lib or binary?
Will the U4 rpm fail to install, or will it just overwrite  the existing shared
lib or bin?

Hope this is clear
Thanks
JD
